Terms of Service Last Updated: 07 JAN 2025 These Terms of Service (“Terms”) form a legally binding agreement between you and Nirbhavi Tech Innovations Private Limited (“Nirbhavi Tech”, “Company”, “we”, “our”, or “us”) and govern your access to and use of our product OneInfo.ai, including our mobile application (the “App”), website (the “Site”), and any related features, content, tools, integrations, and services (collectively, the “Services”). IMPORTANT – PLEASE READ CAREFULLY BY CLICKING “I AGREE” (OR SIMILAR), CREATING AN ACCOUNT, DOWNLOADING OR USING THE APP, ACCESSING THE SITE, MAKING A PAYMENT, OR OTHERWISE USING THE SERVICES, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS, WHETHER OR NOT YOU HAVE REGISTERED. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE SERVICES. These Terms apply to all users of the Services including creators, businesses, agencies, merchants, customers, contributors, and any other person accessing or using the Services. If you accept these Terms on behalf of a company or other legal entity, you represent that you are authorized to bind such entity. In that case, “you” means that entity. Privacy Policy Any personal information you provide to us, or that we collect, is governed by our Privacy Policy (“Privacy Policy”). By using the Services, you confirm that you have reviewed the Privacy Policy. Our Services OneInfo.ai provides an AI-powered platform designed to help individuals, creators, agencies, and businesses manage engagement workflows, automate messaging-related tasks, and use tools that support growth and monetization across supported third-party platforms. Your purchase or usage of the Services is subject to this Agreement. If you have a separate written agreement with us (such as an enterprise order form), that agreement will prevail in the event of a conflict. 2. Account, Password and Security To use certain features, you must create an account (“Account”). You may be required to provide information such as your name, email, or other details. You agree to provide accurate information and keep it updated. You are responsible for: * Keeping your login details confidential * All activity on your Account (even if unauthorised) * Any content uploaded, generated, or processed through your Account If you believe your Account has been compromised, you must notify us immediately at support@oneinfo.ai. The person registering for the Account is the “Account Representative” and is responsible for compliance with these Terms. Accounts are not transferable. 3. Agencies and Business Owners A “Business Owner” is any individual/entity using OneInfo.ai for commercial, promotional, or operational purposes. An “Agency” is a service provider managing OneInfo.ai on behalf of a Business Owner. If you are an Agency, you confirm that: * You are authorized to act for the Business Owner * You correctly assign/administer access to the Business Owner where applicable The Business Owner remains responsible for compliance, payments, and account ownership. Any internal disputes between an Agency and Business Owner do not involve OneInfo.ai. 4. User Content “User Content” means any text, media, data, messages, automation inputs, or information you submit, upload, or process through the Services. You are solely responsible for User Content and confirm that: * You have all necessary rights and permissions * It does not violate laws or third-party rights * It is not harmful, abusive, misleading, illegal, or malicious We do not claim ownership of User Content. However, you grant us a limited license to host, process, transmit, and use User Content only as necessary to provide, maintain, and improve the Services. We may remove or restrict content that violates these Terms or applicable law. 5. Communication & Notifications By using the Services, you agree that we may contact you via email, SMS, WhatsApp, or in-app notifications for: * Account verification and security alerts * Product updates and feature changes * Payment confirmations and access validity * Support and service-related messages You are responsible for ensuring your communications using the Services comply with Indian laws and regulations (including IT Act and applicable anti-spam and data protection rules). 6. Prohibited Uses You agree not to use the Services to: * Break any law or regulation * Violate third-party platform policies * Upload malware, spam, or harmful content * Misrepresent identity, commit fraud, or impersonate others * Reverse engineer or attempt to extract source code * Access restricted systems or attempt unauthorized access * Scrape or use automated tools not provided/authorized by us We may suspend or terminate your access for violations. 7. Representations, Warranties & Compliance with Laws You represent that: * You are at least 18 years old (or legally eligible to form contracts) * You have the authority to enter into this Agreement * You will use the Services lawfully and responsibly You are responsible for determining whether the Services meet your compliance obligations in your jurisdiction. 8. Billing, Payments & Refund Policy 8.1 Payment Processing Payments are processed via third-party payment gateways (“Payment Service Providers” or “PSPs”). You may be required to agree to the PSP’s own terms. We are not a party to the PSP agreement and are not responsible for their systems beyond our integration. 8.2 Manual Monthly Payments (No Auto-Subscription) OneInfo.ai follows a manual month-to-month payment model: * Payments do not auto-renew * Users must pay each month manually * Paid access is granted only for the paid period shown at checkout * If payment is not made, access may be restricted 8.3 Taxes Prices may include or exclude applicable taxes (such as GST) as displayed at checkout. 8.4 Refund Policy All payments are final and non-refundable, including partial usage, non-usage, early discontinuation, or account termination. Refunds may be reviewed only if: * Payment is deducted but access is not enabled, or * Duplicate payment occurred due to a technical issue Refund requests must be submitted within 48 hours to support@oneinfo.ai. Refund approval is at our sole discretion. 9. Termination and Suspension You may stop using the Services and request account deletion as per available options. We may suspend or terminate access if: * You violate these Terms * Your activity creates risk, abuse, or legal exposure * Required by law or platform policies We may delete data after termination in line with our retention policy. 10. Third-Party Websites and Tools The Services may include links or integrations to third-party services. We do not control third-party products and are not responsible for their content or policies. Your use is at your own risk. 11. Intellectual Property Rights All rights in the Services (software, designs, logos, trademarks, and proprietary technology) belong to Nirbhavi Tech Innovations Private Limited. You receive a limited, non-transferable, revocable license to use the Services as permitted by this Agreement. 12. Copyright Complaints If you believe content on OneInfo.ai infringes your copyright, email: support@oneinfo.ai Include: your contact, description of work, location/URL, and proof of ownership. 13. Confidentiality You agree not to misuse confidential or non-public information about the Services, our systems, or our business operations. 14. Disclaimer of Warranties THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, ERROR-FREE OPERATION, OR ANY SPECIFIC BUSINESS RESULTS. 15. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT PAID BY YOU IN THE LAST SIX (6) MONTHS OR ₹10,000, WHICHEVER IS LOWER. 16. Indemnification You agree to indemnify and hold harmless the Company from claims arising from: * Your misuse of the Services * Your content * Your violation of laws or third-party rights 17. Dispute Resolution – Arbitration Disputes shall first be attempted to be resolved amicably. If unresolved, disputes shall be referred to arbitration under Indian law. The seat/venue of arbitration shall be Hyderabad, Telangana, unless otherwise required by law. 18. Governing Law & Jurisdiction This Agreement is governed by the laws of India. Courts having jurisdiction: Hyderabad, Telangana. 19. No Agency; No Employment Nothing in this Agreement creates any agency, partnership, employment, or joint venture relationship. 20. Force Majeure We are not responsible for any failure or delay in providing the Services if it is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, floods, earthquakes, fires, pandemics, epidemics, government orders or regulations, war, terrorism, riots, labor strikes, cyberattacks, failures of internet or cloud service providers, power outages, or any other events that are unforeseeable or unavoidable (“Force Majeure Event”). If such an event occurs: * We will make reasonable efforts to restore the Services as soon as possible. * If the event continues for more than 30 days, we may suspend or terminate the affected Services. You will remain responsible for any payments due for Services already provided. 21. General Provisions If any provision is held invalid, the remaining provisions remain effective. You may not assign your rights without our written consent. We may assign this Agreement as part of corporate restructuring or acquisition. 22. Changes to this Agreement and the Services We may update these Terms from time to time. Continued use after updates means you accept the revised Terms. 23. No Third-Party Rights No person other than you and the Company has any rights under these Terms. 24. Electronic Notices & Consent You consent to receiving notices electronically via email, app notifications, or posting on the Site. 25.
